Terms of Service
Clear terms for the free beta, your catalogue and any paid service you choose later.
1 Who these terms are for
Comerz.ai is an AI catalogue management service for businesses. These terms cover our website, beta and paid service. You must be authorised to act for the company or shop you represent. Requesting beta access does not purchase a subscription.
Comerz.ai is operated by Digital Hive GmbH, Enzianweg 7, CH-8048 Zürich, Switzerland. UID: CHE-275.777.970. VAT number: CHE-275.777.970 MWST. In these terms, we and us refer to Digital Hive GmbH.
2 The service and its scope
Comerz.ai helps you centralise product information, review AI suggestions and synchronise approved changes to connected shops. Your shops remain responsible for checkout, orders, inventory and fulfilment. Supported connections and workflows are confirmed during onboarding; future features and release dates are not contractual promises.
The beta is in active development and may change or be interrupted. We will discuss material changes that affect your agreed use. A written paid order takes precedence for its price, capacity, billing period and expressly agreed services.
3 Your account and shop connections
Provide accurate account details, protect your credentials and control access for your team. Connect only shops you are authorised to operate. Tell us promptly at beta@comerz.ai if you suspect unauthorised access. Disconnecting a shop stops future access through that connection; it does not undo changes already published to the shop.
4 Your content and permissions
You retain your rights in the product data, images, documents and other content you supply. You give us the limited permissions needed to store, process and transmit that content to provide the service, including processing through the providers described in our privacy notices and sending approved data to your connected shops.
You are responsible for your rights to the content, the accuracy of your product information and the legality of the products you sell. Keep suitable source records and backups before consequential imports or synchronisation.
5 Acceptable use
Use the service for lawful business purposes. Do not upload infringing or deceptive content, access shops or data without permission, introduce malicious code, bypass access or usage controls, or interfere with other customers. Do not upload payment-card data, customer order records or sensitive personal data into catalogue or AI fields unless we have expressly agreed a suitable processing arrangement.
6 AI, review and publishing
AI outputs, including descriptions, translations and mappings, are proposals for your review. They may be inaccurate or incomplete. Verify facts, specifications, safety claims, rights and legal requirements before applying or publishing them. You remain responsible for what you approve and for your synchronisation settings.
A plan includes the AI allowance expressly agreed with you. The written offer must explain how usage is counted, when an allowance resets and the price of any additional usage. Extra usage or automatic top-ups require your agreement. We do not promise unlimited AI processing.
7 Free beta and paid subscriptions
The Early Access Beta is free for 30 days from the time your catalogue is connected and you can begin using Comerz.ai. No payment card is required for the beta. Hands-on onboarding is free during the beta. Submitting the form does not start the 30-day period or create a paid subscription.
The beta does not convert automatically into a paid subscription. Before it ends, we discuss whether you want to continue. Paid service starts only after you expressly accept a written offer identifying the operator, plan, recurring price, applicable taxes, product and variant capacity, shops, users, AI allowance, additional charges, billing period, payment terms and cancellation conditions.
Published business prices are in CHF per month and exclude VAT; applicable VAT is added where required. Pro starts from CHF 499.– per month. The final Pro or Enterprise price depends on the scope you agree in writing. Custom connector, migration or other additional work is charged only when agreed separately.
If you do not choose a paid offer, there is no subscription charge. Paid subscriptions are charged to your authorised card in advance, monthly or annually, and renew for the same period unless cancelled before renewal. Payment by invoice or bank transfer is not offered. Annual subscriptions receive a 20% discount against 12 monthly subscription payments for the same scope and are charged in one yearly payment. Separately agreed extras are not discounted unless stated in your offer. Changes do not alter an already paid period retrospectively. Upgrades take effect by agreement with any prorated charge disclosed before acceptance; downgrades apply from the next renewal. Additional AI usage requires approval. If a card payment fails, we notify you and allow seven days to resolve it before suspending AI processing and shop synchronisation.
8 Ending access and suspension
Cancel at any time before the next renewal by emailing beta@comerz.ai. No additional notice period is required. Paid access continues until the end of the paid month or year; cancellation stops the next renewal. There is no routine refund for an unused part of a billing period, subject to mandatory rights and remedies for service failures. You may also end beta participation by contacting us. Standard catalogue exports are included while active, plus a 30-day export window after paid access or a non-converting beta ends, with team assistance if needed. AI processing and shop synchronisation stop when active service ends. Production workspace data is deleted within 30 days after the export window closes, normally within 60 days of termination. Earlier deletion may be requested where legally permissible. This does not reverse data already published to shops. Backup copies are restricted to recovery and expire under the documented backup schedule, supplied before paid onboarding. Required accounting records are retained separately for 10 years from the relevant financial year-end, subject to legal preservation requirements.
We may restrict or suspend access to address unlawful use, a security incident, material breach or harm to the service. We will explain the reason and give an opportunity to resolve it where reasonable. Urgent protective action may be immediate. Data retention and deletion are described in the applicable privacy notice and any agreed data-processing terms.
9 Availability and support
The beta is provided as available without a guaranteed uptime or response-time SLA. We aim to communicate planned disruption. Contact beta@comerz.ai for beta support. Pro includes priority email support and assisted catalogue onboarding and workflow setup; this does not promise a response time or bespoke development. A formal SLA or dedicated service applies only if agreed in writing.
10 Warranties and liability
We do not guarantee that the beta will be uninterrupted or that AI output will be accurate, suitable for a particular purpose or produce a commercial result. Mandatory legal rights remain unaffected.
To the extent permitted by applicable law, our aggregate liability arising from the service is limited to the service fees you paid in the 12 months preceding the event, and liability for indirect loss or lost profit is excluded. These limitations do not apply to intentional misconduct, gross negligence or any liability that cannot lawfully be excluded.
11 Data protection
The Privacy Policy describes processing for the application. The separate early-access privacy notice describes this website questionnaire, its Cloudflare D1 storage and email copies through our business Gmail account. Website application records are separate from product-catalogue workspaces; a Swiss product-hosting statement does not mean every website or email record is stored only in Switzerland.
Where we process personal data on your behalf, the required data-processing agreement, relevant providers and transfer safeguards must be settled before you supply that data.
12 Changes to these terms
We may revise these terms as the service evolves. We notify existing participants of material changes in advance and provide the revised text. Changes do not create a paid subscription or replace an express commercial agreement without the required acceptance. The current version is available at /terms.
13 Governing law and disputes
Swiss law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, subject to mandatory law. The courts of Zürich, Switzerland, have exclusive jurisdiction except where mandatory law provides otherwise.
